Practice
The practice, in full
Eleven mandates under four paths. You contract with a New York resident, under New York law. In-country work is our affiliated company’s responsibility. Each mandate has a defined scope, a calendar, and English reporting.
01
Decide
One English options paper: keep the company running under administration, mothball it, or liquidate — with clocks, costs, and what OFAC still allows.
02
Keep it current
Accounting, tax, director, bank, payroll, and representation — whether the subsidiary is still operating or dormant. A mothball retainer is the usual bundle when activity has stopped.
Mothball Retainer
One monthly engagement: tax, director, address, ruble tax-payments (we can advance them; you reimburse in USD), leftover payroll — English reporting, one invoice.
Tax & Regulatory Compliance
Full Russian tax cycle — CIT, VAT, insurance premiums, FTS correspondence — executed in-country and reported to you in English.
Corporate Maintenance
Nominee General Director, registered address, EGRUL standing, and a working corporate secretariat.
Often the blocker
Banking & Tax-Payment Administration
Wires into Russia fail. We pay the ruble tax bill from our in-country balance; you reimburse Colibry LLC in dollars, to a U.S. bank.
Residual Payroll & Labor
Payroll that still has to run — or the one leftover employment contract that blocks liquidation — closed, paid, and reported, in English.
Regulatory Reporting & Monitoring
Rosstat, controlled-transaction notices, permit calendars, and a monthly English digest of what changed.
OFAC Compliance Review
Written assessment of what remaining Russia-related administration is permitted, prohibited, or needs a closer look.
03
Wind it down
Voluntary liquidation with a paper trail, including the FTS audit that often comes with it. We do not run a sale to a Russian buyer.
04
Keep the books
1C and the ledger on our Russia servers, mirrored to the United States, without a HQ VPN.
Confidential intake
Begin with a conversation, not a wire to Russia.
